The terms and conditions contained herein constitute the sole and entire agreement between the parties and are the only basis upon which all 2 md BV. (“all2md.com”), the seller, offers to sell goods to the buyer. Please note that any failure on our part to demand performance of any provision in the Terms shall not constitute a waiver of any of our rights under this document.

The illegality or unenforceability of any provision of this Agreement shall not affect the validity and enforceability of any provision of any legal and enforceable provisions hereof.

By using all 2 md website and making any order to all 2 md either through the website or by any other means of media from all 2 md BV, you agree with and accept the following terms:

Payment

Payment will be made fully in advance by wire, or by electronic payment option available to you on the webstore. We accept the following credit cards: American Express, Visa & MasterCard. The card must be registered to the account address. We are unable to accept Cards that are due to expire within the next 5 days. Card details are checked and verified by a third party and goods are dispatched once authorisation has been obtained. Only orders that were fully paid in advance are obligating the seller. If an Order is not paid within 3 days after produced to seller, the order will be cancelled with no need of notification to the buyer. The seller serves the right to check any necessary financial information in order to approve your order in accordance with our credit and fraud avoidance policy. Seller serves the right to accept or cancel any order without any reason, including incorrect information due to typographical error or error in pricing or product information received from our suppliers or entered mistakenly by us. If you already paid -, and your order is cancelled by us, all 2 md shall immediately issue a refund to you and you will receive your payment fully in the same manner it was paid to us.

Customs fee and regulations

You will be responsible for assuring that any products you order comply with your country, state and federal government import regulations and/ or law for importing medical goods to your country of destination. Please note that it is your sole responsibility to make sure you have all approvals required by law to enter your order to your country of destination. All 2 Md will do its best to help you with any information necessary in order to import the goods, however it is your sole responsibility to make sure in advance prior to making an order that you and the products ordered comply with any regulations and /or laws required to enter the order to your country of destination and that you have all approvals or will receive all approvals required. Please note that all shipments to international destinations may be subject to import duties and taxes, which are levied by the importing country at the time the shipment arrives in your country. All applicable duties, taxes (including VAT), fees including forwarder releasing fees and any additional charges for customs clearance are your, our customer’s, responsibility and will be paid by you. You should also note that all the release process will be done by the receiver and it is on the receiver responsibility to assure he/she fulfills all the country of destination regulations in order to enter medical equipment to the country

Licenses to use or sell and insurance for operating

You hereby declare that you are a professional buyer and you have the knowledge, the proper training and any license required by the law of your country to either market, sell or operate the medical goods that were ordered by you from ALL 2 MD. You will use the equipment only for its original purpose, and only as is advised according to the user Manuel. Buyer declares that they hold all insurances required while operating the equipment purchased herein, including product liability, professional liability, third party liability, and all risk insurance usually acceptable in their country of destination. Such policies shall provide for a waiver of subrogation rights against seller and contain no cross-liability exclusion.

Limited Warranty

In no event All 2 Md or any of its subsidiaries or affiliates will be liable for any indirect, special, incidental or consequential damages including but not limited to loss of use, loss of business or loss of profits. ALL 2 MD liability will be limited to the repair or the replacement stated below and in no event will be greater than the purchase price paid by the buyer.

Subject to the above exclusions and upon the conditions stated below ALL 2 MD Warrants that the products sold will be free of defects in workmanship and materials for the period of 12 months, unless stated elsewhere in the description of the goods. If any product should prove to be defective during this period, Buyer must return the defective product on its own expense to All 2 Md, and All 2 Md agrees, at its option, either (I) to repair it or (ii) to replace it with an equivalent product. All 2 Md may use reconditioned, refurbished, and/or serviceable used parts for warranty or other repairs. All warranty work shall be performed at an authorized ALL 2 MD facility, and all shipping and importing charges, including release fees from customs, to and from said facility will be paid by the Buyer.

Acts Voiding Warranty: Any product which has been disassembled, repaired, tampered with, altered, changed, or modified by any person(s) other than All 2 MD own personnel or authorized facility, unless such repair by others is made with the prior written consent of All 2 Md and any defect made by usage not according to the user manual and/or according to ALL 2 MD instructions and/or by using the product not for its original purpose. Warranty should immediately void if serial is missing or altered or original product labels are missing.

Except as expressly provided in these Terms, content on All 2 Md website and social media, including videos, photos, articles, links and any other type of media, does not constitute professional advice. Please remember that accurate professional consultation in areas of expertise (e.g. medical matters, legal issues, professional equipment, value estimation, financing, insurance etc.), depends on the precise facts of each and every individual case. Therefore, the content, either technical, marketing or sales, provided by All 2 Md is in no way a substitute for any such professional consultation and the buyer using this information is doing so on its sole responsibility. Such information may refer to certain models of devices only and may also be partial and incomplete. In any case, we do not warrant that the information provided will be accurate and do not assume any responsibility for such information and for the usage of it.

Cancellation of an order

You can cancel your order within 3 days after you have placed an order with no charge as long as the package has not been sent to you already. In case any special changes were made to your product(s) by your request or you have made a special order – your order can not be canceled or you cannot return the goods. You may return your goods within 14 days after receipt (the day you send the shipment back to us should not be later than 14 days from the day the goods arrived to your custody). All shipping cost back to us, will be on our expense, as long as you follow our instructions regarding how to return the goods. Returning goods should be in new condition, with original package. Changes of Terms

All 2 Md will be entitled to change the terms at her on will from time to time, including any and all documents, forms and policies incorporated thereto. However, those changes will only affect future orders and any orders which were made until the terms were changed will be according to the prior terms.

Governing Law, Jurisdiction

All 2 Md is registered as a Company in The Netherlands, Amsterdam. Therefore, you here by agree that the Terms and conditions of your purchase from All 2 Md will be governed by and construed in accordance with the Dutch law without giving effect to any choice of law or conflict of law rules or provisions, which would result in the application of the laws of a jurisdiction other than the Dutch jurisdiction.

Except as explicitly provided in the Terms, you agree to resolve any dispute or claim that you may have against us in the exclusive jurisdiction of the court of Amsterdam, The Netherlands
